By downloading, installing, accessing, or using COVSY ("the App," "Service," or "Application"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you ("User" or "you") and COVSY ("we," "us," or "our").

Service Description

What COVSY provides

COVSY is a mobile application that helps users analyze HOA covenants, CC&Rs, and related real estate documents through:

• Document upload and OCR processing
• AI-powered question answering
• Page-linked citations and references
• Expert question packs for different user types
• Document search and analysis tools

Service availability

COVSY is currently available for iOS devices through the Apple App Store. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

Eligibility

Age requirements

You must be at least 13 years old to use COVSY. If you are between 13 and 18 years old, you must have your parent or legal guardian's permission to use the Service.

Legal capacity

By using COVSY, you represent and warrant that:

• You have the legal capacity to enter into these Terms
• You are not prohibited from using the Service under applicable laws
• Your use of the Service will not violate any laws or regulations
• All information you provide is accurate and truthful

User Accounts

Account creation

To access certain features of COVSY, you may need to create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and update your account information
• Keep your login credentials secure and confidential
• Notify us immediately of any unauthorized account access

Account responsibility

You are responsible for all activities that occur under your account. We are not liable for any losses or damages arising from unauthorized use of your account.

Account termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms or for any other reason at our sole discretion.

Acceptable Use

Permitted uses

You may use COVSY for:

• Analyzing your own HOA documents and covenants
• Documents you have legal right to analyze
• Professional purposes within your scope of practice
• Educational and research purposes
• Personal property-related decision making

Use restrictions

When using COVSY, you agree not to:

• Upload documents you don't have rights to analyze
• Share sensitive or confidential information belonging to others
• Use the Service for illegal or unauthorized purposes
• Attempt to circumvent security measures
• Interfere with the Service's operation

Prohibited Conduct

The following activities are strictly prohibited:

Subscription and Billing

Subscription plans

COVSY offers subscription-based access to premium features. Current pricing and features are displayed in the app and on our website.

Billing terms

• Recurring Charges: Subscriptions automatically renew unless cancelled
• Payment Processing: Payments are processed through the Apple App Store
• Price Changes: We reserve the right to modify pricing with notice
• Taxes: You are responsible for applicable taxes

Cancellation and refunds

Subscription cancellations and refund requests are handled through the Apple App Store according to Apple's policies. We do not process direct refunds.

Free trial

COVSY offers a 3-day free trial for new subscribers:

• You may cancel anytime during the 3-day trial period
• If you don't cancel before the trial ends, you'll be charged $5.99/month
• Trial cancellation must be done through the Apple App Store
• We reserve the right to modify or discontinue free trials

Intellectual Property Rights

Our rights

COVSY and all related content, features, and functionality are owned by us and are protected by copyright, trademark, and other intellectual property laws. This includes:

• The COVSY application and software
• User interface and design elements
• Logos, trademarks, and branding
• Question packs and content templates
• Documentation and help materials

Limited license

We grant you a limited, non-exclusive, non-transferable license to use COVSY for its intended purposes, subject to these Terms.

Restrictions

You may not:

• Copy, modify, or distribute our content
• Use our trademarks or branding
• Create derivative works
• Remove copyright or proprietary notices

User Content and Data

Your content rights

You retain ownership of documents and content you upload to COVSY. However, by using our Service, you grant us certain rights as described below.

License to process

You grant us a limited license to:

• Process your documents to provide our services
• Use AI services to analyze your content
• Store necessary data to maintain your account
• Provide customer support

Content responsibility

You are solely responsible for:

• The legality and appropriateness of uploaded content
• Ensuring you have rights to upload and analyze documents

• Accuracy of information you provide

Content removal

We reserve the right to remove any content that violates these Terms or applicable laws, without notice.

Privacy and Data Protection

By using COVSY, you consent to:

• Cloud processing when you enable AI features

We implement reasonable security measures to protect your data, but cannot guarantee absolute security. You use the Service at your own risk.

Disclaimers and Warranties

Service "as is"

COVSY is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:

• Merchantability or fitness for a particular purpose
• Accuracy or reliability of information
• Uninterrupted or error-free operation
• Security or freedom from viruses

No legal advice

COVSY does not provide legal advice. Information provided by the Service should not be relied upon for legal decisions without consulting qualified legal professionals.

Third-party services

We are not responsible for third-party services, content, or websites that may be accessed through COVSY.

Limitation of Liability

Damage limitations

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including:

• Loss of profits, revenue, or business opportunities
• Loss of data or information
• Business interruption or downtime
• Personal injury or property damage
• Legal fees or costs

Maximum liability

Our total liability for all claims related to COVSY shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

Essential purpose

These limitations apply even if our remedies fail their essential purpose. Some jurisdictions may not allow certain limitations, so these may not apply to you.

Indemnification

Your indemnification obligations

You agree to indemnify, defend, and hold harmless COVSY and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses arising from:

• Your use or misuse of COVSY
• Your violation of these Terms
• Your violation of applicable laws or regulations
• Your infringement of third-party rights
• Content you upload or process through COVSY
• Decisions made based on COVSY's analysis

Defense and settlement

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense.

Termination

Termination by you

You may terminate your use of COVSY at any time by:

• Deleting the app from your device
• Cancelling your subscription through the App Store
• Requesting account deletion through our support

Termination by us

We may terminate or suspend your access to COVSY immediately, without notice, for:

• Violation of these Terms
• Suspected illegal activity
• Extended periods of inactivity
• Technical or security reasons

Effect of termination

Upon termination:

• Your right to use COVSY immediately ceases
• We may delete your account and data
• Surviving provisions of these Terms remain in effect
• You remain liable for any outstanding obligations

Dispute Resolution

Informal resolution

Before pursuing formal dispute resolution, please contact us at support@covsy.com to attempt to resolve the issue informally.

Binding arbitration

Any disputes arising from these Terms or your use of COVSY shall be resolved through binding arbitration conducted by the American Arbitration Association under its Commercial Arbitration Rules.

Class action waiver

You agree to resolve disputes individually and waive any right to participate in class action lawsuits or class-wide arbitration.

Exceptions

Either party may seek injunctive relief in court for intellectual property violations or urgent matters requiring immediate action.

General Provisions

Governing law

These Terms are governed by the laws of the United States and the state where COVSY is operated, without regard to conflict of law principles.

Changes to Terms

We may modify these Terms at any time by posting updated terms. Material changes will be communicated through the app or email. Continued use constitutes acceptance of modified terms.

Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Entire agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and COVSY regarding use of the Service.

Assignment

We may assign these Terms without notice. You may not assign your rights or obligations without our written consent.

Waiver

Our failure to enforce any provision does not constitute a waiver of that provision or any other provision of these Terms.
